These Terms of Service ("Terms") govern your access to and use of the Equity Lounge website, mobile application and related services (collectively, the "Platform").

Equity Lounge is a social investing and financial information platform that allows users to connect, discuss investments, participate in communities ("Lounges"), share content and, where available, connect brokerage accounts on a read-only basis.
Equity Lounge is not a broker, investment adviser, bank, portfolio manager, financial institution or trading platform.
We do not execute trades, manage your investments, hold client funds or make investment decisions on your behalf.
To use certain features of Equity Lounge, you must create an account.

You are responsible for activity occurring through your account where permitted by applicable law.
You may not impersonate another person or create an account using false or misleading information.
Equity Lounge provides privacy and sharing controls.
Depending on the functionality available, you may choose to make your profile private, limit your discoverability and control what portfolio information or other information you share with other users.
You are responsible for reviewing your privacy settings and deciding what information you wish to make available to others.
Subject to these Terms, Equity Lounge grants you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Platform.
This permission does not give you ownership of the Platform, its software, branding, databases or other intellectual property.
Unless we expressly authorise it, you may not:
Equity Lounge is designed for discussion and exchange of information relating to investing, markets and finance.
Users are expected to interact responsibly with other members.
You must not use the Platform to:

Serious unlawful activity may be reported to relevant authorities where appropriate or legally required.

Users may have different levels of knowledge, experience and financial interests.
Content posted by users represents the views of those users and does not represent the views or recommendations of Equity Lounge.
Users discussing investments should not deliberately misrepresent their positions, interests or conflicts of interest.
You should independently evaluate information you encounter on Equity Lounge.
Nothing available through Equity Lounge constitutes investment, financial, legal, accounting or tax advice from Equity Lounge.
Equity Lounge provides technology, market information and a platform through which users can communicate.
Equity Lounge does not recommend that you buy, sell or hold any particular investment.
Content appearing on the Platform may be:
The fact that a user's portfolio or holdings may be connected or displayed through Equity Lounge does not mean that the user's statements are accurate, suitable for you or endorsed by Equity Lounge.
You are responsible for conducting your own research and, where appropriate, obtaining advice from a qualified professional.

The value of investments can rise or fall, and you may lose some or all of the money you invest.
Past performance is not a guarantee or reliable indicator of future performance.
Information displayed on Equity Lounge should not be relied upon as the sole basis for an investment decision.
You remain solely responsible for your investment decisions and transactions.
Equity Lounge is not responsible for investment losses resulting from decisions you make based on information, discussions, portfolio data or other content available through the Platform, except where liability cannot legally be excluded.
Equity Lounge may allow you to connect supported brokerage accounts through SnapTrade.
Connecting a brokerage account is optional.
The brokerage connection used by Equity Lounge is read-only.
Equity Lounge cannot use this connection to:
Investment transactions remain entirely between you and your broker or other relevant financial institution.
Through the brokerage connection, Equity Lounge may receive information including:
The information available to Equity Lounge depends on information supplied through SnapTrade and the relevant brokerage.
Portfolio information may be delayed, incomplete or inaccurate due to circumstances outside Equity Lounge's control.
You should treat your broker or financial institution as the authoritative source for your actual holdings, balances and account information.
Equity Lounge does not guarantee that brokerage-connected information displayed on the Platform is complete, current or error-free.
Where functionality permits, you may disconnect a linked brokerage account.
Disconnecting a brokerage account may prevent certain portfolio verification or portfolio-related features from functioning.
Equity Lounge may display market prices, company information, financial information, news or other market-related data supplied by third parties, including Finnhub.
Market information may be delayed, inaccurate, incomplete or unavailable.
Equity Lounge does not guarantee the accuracy, completeness or timeliness of market data.
Market data displayed through the Platform is provided for informational purposes and should not be treated as an official price quotation or relied upon as the sole basis for an investment decision.
"User Content" includes information or material submitted, published or shared through Equity Lounge, including:
You retain ownership of your User Content.
You are responsible for ensuring that you have the necessary rights to publish or share your User Content.
By publishing or submitting User Content, you grant Equity Lounge a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, format and otherwise use that content to the extent reasonably necessary to operate, provide, improve and promote the Platform.
This licence does not transfer ownership of your content to Equity Lounge.
Where User Content remains on the Platform after account deletion, this licence continues only to the extent reasonably necessary for that content to remain available and for Equity Lounge to operate the Platform.
You must not upload or publish content that:
You are responsible for the User Content you submit.
Equity Lounge may, but is not obligated to, review or moderate User Content to the extent permitted by applicable law.
We reserve the right to remove, restrict or limit access to content that we reasonably believe:
We may use account restrictions, warnings, content removal, temporary suspensions or permanent account termination depending on the circumstances.
The presence of content on Equity Lounge does not mean that we have reviewed, verified or endorsed it.
Equity Lounge may allow users to communicate privately.
You are responsible for your communications and interactions with other users.
You must not use private messaging to engage in harassment, fraud, spam, unlawful solicitation, market manipulation or other activity prohibited by these Terms.
Users should exercise appropriate caution when communicating with people they do not know.
Equity Lounge does not guarantee the identity, intentions or reliability of another user.
Equity Lounge relies on third-party services to provide certain Platform functionality.
These currently include services such as:
Third-party services may be subject to their own terms and privacy policies.
Equity Lounge does not control and cannot guarantee the availability, accuracy or performance of third-party services.
We may change, replace, add or discontinue third-party providers as the Platform evolves.
We aim to provide a reliable Platform but do not guarantee uninterrupted or error-free availability.
Equity Lounge may occasionally be unavailable because of:
We may add, modify, suspend or discontinue features of the Platform.
Where reasonable, we will seek to avoid unnecessary disruption to users.
The Platform and its software, design, branding, logos, trademarks, databases, features and other proprietary materials are owned by or licensed to Equity Lounge.
Except for the limited right to use the Platform granted under these Terms, no intellectual property rights are transferred to you.
"Equity Lounge" and associated branding may not be used in a manner that suggests sponsorship, endorsement or affiliation without our permission.
You may delete your Equity Lounge account using the available account functionality.
The handling of personal data following account deletion is described in our Privacy Policy.
Posts, comments or other contributions previously made to the community may remain after account deletion and may no longer be associated with an identifiable account.
We may restrict, suspend or terminate an account where we reasonably believe this is necessary because of:

To the maximum extent permitted by applicable law, Equity Lounge is provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, Equity Lounge GmbH and its directors, officers, employees and representatives will not be liable for indirect, incidental, special or consequential losses arising from use of the Platform.

Equity Lounge does not exclude or limit liability where doing so would be prohibited by applicable law, including liability arising from intentional misconduct or gross negligence where such liability cannot legally be excluded.
You are responsible for your use of Equity Lounge and for complying with these Terms and applicable law.
To the extent permitted by applicable law, you may be responsible for losses or claims suffered by Equity Lounge resulting directly from your unlawful use of the Platform, material violation of these Terms or infringement of third-party rights.
Our collection and processing of personal data is governed by our Privacy Policy.
By using Equity Lounge, you acknowledge that you have been provided with access to the Privacy Policy and information about how personal data is handled.
We may update these Terms as Equity Lounge develops or where necessary because of legal, regulatory, security or operational changes.
The current version will be made available through the Platform and will display its latest revision date.
Where required by applicable law, we will provide appropriate notice before material changes take effect.
If you do not agree with revised Terms, you should stop using the Platform and delete your account.
These Terms are governed by the laws of Switzerland, excluding its conflict-of-law rules.
Subject to any mandatory consumer protection rights or jurisdiction rules that apply to you, disputes arising from or relating to these Terms or the Platform shall be subject to the competent courts in the Canton of Zurich, Switzerland.
Nothing in this section deprives a consumer of mandatory rights or protections that cannot legally be waived under applicable law.
These Terms, together with our Privacy Policy and any other terms expressly agreed between you and Equity Lounge, constitute the agreement governing your use of the Platform.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
If we do not immediately enforce a provision of these Terms, this does not mean we waive our right to enforce it later.
You may not transfer your account or your rights under these Terms without our consent.
We may transfer our rights and obligations in connection with a merger, acquisition, restructuring, sale of the business or similar transaction, subject to applicable law.
Equity Lounge is not responsible for delays or failures caused by circumstances reasonably outside our control.
These Terms are written in English.
Where translations are provided, they are provided for convenience. To the extent permitted by applicable law, the English version will prevail in the event of an inconsistency.
